# Terms of Service

Welcome to Lleverage. These Terms of Service ("Terms") govern your access to and use of the services provided by Lleverage B.V. ("Lleverage AI", "we", "us", "our"), including our platform, APIs, AI development tools, and any other services we provide (collectively, the "Services"). By accessing or using the Services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

### 1. Definitions

In these Terms, the following terms have specific meanings:

* **"Lleverage"** refers to Lleverage B.V., a Besloten Vennootschap incorporated in the Netherlands, with its principal place of business at Raamplein 1, 1016XK Amsterdam.
* **"User"** means any individual or entity that registers for, accesses, or uses the Services.
* **"Contract"** means these Terms (or, if applicable, your written agreement with us) and any Order Confirmation(s) that together form a binding "Contract" between you as a Customer and us.&#x20;
* **"Customer"** means the organization that you represent in agreeing to the Contract. If the Services are being set up by someone who is not formally affiliated with an organization, Customer is the individual setting them up. If you signed up for a plan using your corporate email domain, your organization is a Customer, and Customer can modify and re-assign roles for your Services (including your role) and otherwise exercise its rights under the Contract. If Customer elects to replace you as the representative with ultimate authority for the Services, we will provide you with notice following such election and you agree to take any actions reasonably requested by us or Customer to facilitate the transfer of authority to a new representative of Customer.
* **"Customer Data"** refers to all electronic data, content, or information that you submit to the Services in the course of using them.
* **"Output"** means the results generated by the Services based on Customer Data, including AI-generated content, analytics, reports, and any other output provided by the Services.
* **"Confidential Information"** includes all information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
* **"Test Environment"** means limited access to the Services provided at no charge for evaluation purposes, subject to usage limitations and without the warranties, SLAs, or support commitments applicable to paid subscriptions under an Order Confirmation.

### 2. Acceptance of Terms

By registering for, accessing, or using the Services, you affirm that you have read, understand, and agree to these Terms, our Privacy Policy, our Data Protection Policy, and any other policies or guidelines referenced herein or accessible via the Services. If you are using the Services on behalf of a company (Customer) or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.

### 3. Changes to Terms

Lleverage reserves the right to modify these Terms at any time. Any changes will become effective immediately upon posting the updated Terms on our website. It is your responsibility to review these Terms periodically for any changes. For convenience, we will notify you about any significant changes to these Terms. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes. If you do not agree with the revised Terms, you must discontinue your use of the Services immediately.

### 4. User Accounts

* **Account Creation:** Access to the Services is provided pursuant to an Order Confirmation or, for evaluation purposes, through our Test Environment. Customer accounts are provisioned by Lleverage following execution of an Order Confirmation. Test access for evaluation purposes may be requested through our sales team or through the website.
* **Account Security:** You and the organization you work for (Customer) are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. You agree to notify Lleverage immediately of any unauthorized use of your account or any other breach of security.
* **Account Restrictions:** You must not share your account credentials with any third party. You agree not to create an account using a false identity or information, or on behalf of someone other than yourself without permission.

### 5. Subscription and Fees

* **Subscription Plans:** Lleverage offers various Subscription Plans that determine the level of access and the features available to Customers and its Users. Each Subscription Plan is by default subject to these terms and conditions, unless specifically agreed otherwise. Subscription terms, scope, and fees are specified in the applicable Order Confirmation executed between Customer and Lleverage.
* **Fees and Payment:** You as a Customer agree to pay all fees associated with your signed Order Confirmation. Payment terms, including due dates and methods of payment, are specified in the applicable Order Confirmation. All fees are non-refundable except as required by law or explicitly stated in the Order Confirmation.
* **Automatic Renewal:** Subscription Plans may automatically renew at the end of the subscription period unless specifically agreed otherwise, or if you cancel your subscription prior to the renewal date / notification date (whichever is applicable to you). You will be charged the applicable subscription fees for the renewal term if you haven't cancelled your subscription.&#x20;

### 6. Use of Services

* **Use:** Customers, including its Users, must at all times comply with the Acceptable Use Policy. We may review conduct for compliance purposes, but we have no obligation to do so.
* **Prohibited Uses:** You agree not to:
  * Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
  * Modify, adapt, or hack the Services, or attempt to gain unauthorized access to the Services or related systems or networks.
  * Use the Services to transmit any malicious code, viruses, or harmful data.
  * Access or use the Services in a way that circumvents or undermines any usage limitations or restrictions placed on the Services.
* **Service Availability:** Lleverage strives to maintain high availability of the Services. Our commitment are specified in our Service Level Agreement (SLA). However, scheduled maintenance or unexpected outages may occur, and Lleverage will provide notice of planned maintenance whenever possible.
* **Test Environment Usage: U**sers accessing the Test Environment for evaluation purposes are subject to usage limitations. LLM usage in the Test Environment is provided on a fair-use basis with reasonable limits. Lleverage reserves the right to:

  * Monitor usage volume and patterns across Test accounts
  * Temporarily suspend Test access if usage significantly exceeds evaluation-appropriate levels
  * Define and modify reasonable usage thresholds for Test accounts

  Production access with defined usage allocations is available through paid subscriptions via Order Confirmations.

### 7. Intellectual Property Rights

* **Your Ownership:** As between us on the one hand, and Customer and its Users on the other, Customer will own all Customer Data and Custom Workflows, Pipelines, Apps and/or Agents, but excluding the components of the Services. Subject to the terms and conditions of the Order Confirmation / Contract between Lleverage and you as Customer (for itself and all of its Users), you as a Customer grant us a worldwide, non-exclusive, limited term license to access, use, process, copy, distribute, perform, export and display Customer Data, Custom Apps created or deployed by or for Customer, only as reasonably necessary (a) to provide, maintain and improve the Services; (b) to prevent or address service, security, support or technical issues; (c) as required by law, to prevent fraud, and (d) as expressly permitted in writing by Customer.
* **Our Ownership:** We own and will continue to own our Services and all components thereof, including all related intellectual property rights. We may make these components available on-premises or for download, for example, via license keys or other channels, as part of the Services. We grant to Customer a non-sublicensable, non-transferable, non-exclusive, limited license for Customer and its Users to use the object code version of these components, but solely as necessary to use the Services and in accordance with your Contract and any other Terms. All of our rights not expressly granted by this license are hereby retained.
* **Feedback:** If you provide any feedback, suggestions, or recommendations to Lleverage regarding the Services ("Feedback"), you grant Lleverage a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback into the Services or any other products or services without restriction.

### 8. Confidentiality

* **Confidential Information:** During the course of using the Services, either party may disclose Confidential Information to the other. Confidential Information includes but is not limited to proprietary information, technical data, trade secrets, business plans, and any other non-public information, whether disclosed orally, in writing, or by other means.
* **Obligations:** Both parties agree to:
  * Use the Confidential Information solely for the purposes of fulfilling their obligations under these Terms.
  * Protect the confidentiality of the Confidential Information with the same degree of care they use to protect their own confidential information, but in no event less than a reasonable standard of care.
  * Not disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law.
* **Exceptions:** Confidential Information does not include information that:
  * Is or becomes publicly available without breach of these Terms.
  * Was known to the receiving party before receipt from the disclosing party.
  * Is received from a third party without breach of any confidentiality obligation.
  * Is independently developed by the receiving party without use of the Confidential Information.

### 9. Data Protection and Privacy

* **Data Processing:** Lleverage processes Customer Data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Detailed information on how we process data can be found in our Data Protection Policy, which is incorporated into these Terms by reference.
* **Privacy Policy:** Our [Privacy Policy](/privacy-policy) outlines how we collect, use, and protect your personal data. By using the Services, you agree to the collection and use of your data in accordance with our Privacy Policy. This policy is also incorporated into these Terms by reference.
* **User Obligations:** You are responsible for ensuring that any Customer Data you submit to the Services, including personal data, is collected and shared in compliance with applicable laws. You agree to obtain all necessary consents and provide all required notices before submitting Customer Data to the Services.

### 10. AI-specific Provisions

* **Use of AI Models:** Lleverage provides access to advanced AI / LLM models and (ML) algorithms that you can customize or fine-tune based on your specific requirements. The Output generated by these models is influenced by the data and instructions you provide. While we strive for accuracy, the results may vary, and you should independently verify the accuracy and appropriateness of any AI-generated Output.
* **Responsibility for Output:** You are solely responsible for the use of any AI-generated Output, including ensuring that it is accurate, appropriate, and compliant with applicable laws and regulations. Lleverage disclaims any liability for decisions made based on AI-generated Output.
* **Ethical Use of AI:** Users must adhere to ethical guidelines when using the AI Services, including principles of fairness, transparency, and accountability. A separate Responsible AI Policy is provided to outline these ethical guidelines in detail, and you agree to comply with it as part of these Terms.
* **Zero data retention:** When processing data for paid clients through third-party AI model providers, the Processor (Lleverage) shall ensure that zero data retention options are enabled and enforced with such providers wherever possible, preventing any storage or retention of the Controller's data beyond what is necessary for immediate processing.

### 11. Term and Termination

* **Term:** These Terms remain in effect from the date you first access or use the Services until terminated by either party as described herein.
* **Termination by a non paying User:** You may terminate your account and stop using the Services at any time by cancelling your account in the platform.
* **Termination by a Customer:** a subscription has a term that may expire or be terminated. The Contract remains effective until all subscriptions ordered under the Contract have expired or been terminated or the Contract itself terminates. Termination of the Contract will terminate all subscriptions and all Order Confirmations.
* **Termination by Lleverage:** We may terminate the Contract on notice to you if the other party materially breaches the Contract or any of our Terms and such breach is not cured within thirty (30) days after the non-breaching party provides notice of the breach. Customer is responsible for its Users, including for any breaches of this Contract caused by its Users. We may terminate the Contract immediately on notice to Customer if we reasonably believe that the Services are being used by Customer or its Users in violation of applicable law.
* **Effect of Termination:** Upon termination, all rights granted to you under these Terms will cease, and you must immediately stop using the Services. Sections of these Terms that by their nature should survive termination, including but not limited to provisions related to payment, confidentiality, intellectual property, and liability, will remain in effect.
* **Data Portability and Deletion:** During the term of a subscription, Customer will be permitted to export Customer Data via the cloud-based Services; provided, that Customer acknowledges and agrees that such ability to export may be limited by the applicable Services plan in effect, Customer's particular configuration of Pipelines, Workflows, Apps or Agents, and the data retention settings enabled by Customer. Customer further understands that there are currently no features or functionality made available by us that enables or assists the export, transfer, translation or transition of any applications build on top of the Services. Following the Term, Lleverage shall have no obligation to maintain or provide any Customer Data or Custom Apps, and upon Customer's deletion of its account, Lleverage shall, unless legally prohibited, delete all Customer Data and Custom applications in its systems or otherwise in its possession.

### 12. Disclaimer of Warranties

* **Test Tier Services:**&#x20;
  * The Test Tier Services are provided strictly on a "as is" and "as available" basis.
  * Lleverage makes no warranties, express or implied, regarding the Test Services, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and title.
  * Lleverage does not guarantee that the Test Services will meet your specific requirements, achieve any particular result, be compatible with any software or hardware, or be error-free.

* **Paid Services:** For customers with a paid plan, Lleverage warrants that:

  * The Services will perform materially in accordance with the documentation and specifications outlined in your Order Confirmation.
  * The Services will maintain at least an uptime according to our SLA.
  * We will use best efforts to maintain the security and integrity of your data.
  * We will provide technical support with response times as specified in your Service Level Agreement.

* In the event of a breach of these warranties, your remedy and Lleverage's obligation will be to:
  * Use best efforts to correct the non-conforming Services
  * Provide (service) credits as specified in your Service Level Agreement
  * If Lleverage is unable to correct the issue within 30 days, you may terminate the affected Services for cause and receive a pro-rated refund of prepaid fees
  * These warranties are contingent upon proper use of the Services and do not apply if the Services have been modified without Lleverage's authorization

### 13. Limitation of Liability

* **Exclusion of Damages:** To the maximum extent permitted by law, Lleverage shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, arising out of or in any way connected with your use of or inability to use the Services, even if Lleverage AI has been advised of the possibility of such damages.
* **Cap on Liability:** Lleverage's total liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount paid by you to Lleverage during the twelve (12) months preceding the event giving rise to the claim.

### 14. Indemnification

* **Your Protection of Lleverage:** You agree to protect and compensate Lleverage against legal claims, losses, and expenses (including reasonable legal fees) that arise from:
  * Your misuse of the Services or violation of these Terms
  * Any content you upload that infringes others' rights
  * Your deliberate misconduct or serious negligence
* **Lleverage's Protection of You:** Lleverage agrees to protect and compensate you against legal claims, losses, and expenses (including reasonable legal fees) that arise from:
  * Claims that Lleverage's Services infringe someone else's intellectual property rights
  * Lleverage's failure to protect your data or keep your information confidential as promised in these Terms
  * Lleverage's serious negligence or intentional wrongdoing

### 15. Governing Law and Jurisdiction

* **Governing Law:** These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of laws principles.
* **Jurisdiction:** Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Amsterdam, Netherlands. You and Lleverage AI consent to the personal jurisdiction and venue of these courts.

### 16. Miscellaneous

* **Entire Agreement:** These Terms, along with our Privacy Policy, Data Protection Policy, Acceptable Use Policy, and Responsible AI Policy and your Contract constitute the entire agreement between you and Lleverage regarding your use of the Services and supersede any prior agreements or understandings, whether written or oral.
* **Severability:** If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the remaining provisions will remain in full force and effect.
* **Waiver:** The failure of either party to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
* **Assignment:** You may not assign or transfer these Terms, by operation of law or otherwise, without Lleverage AI's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Lleverage AI may assign or transfer these Terms freely without restriction.
* **Notices:** All notices required under these Terms must be in writing and will be deemed given when delivered by hand, sent by email, or mailed by certified or registered mail, return receipt requested, to the address provided by the receiving party.

* **To Ensure Security and Compliance:** We process your information to detect, prevent, and respond to potential security threats, fraudulent activity, and violations of our Terms of Service or applicable laws. This includes monitoring the use of our Services to ensure compliance with our Acceptable Use Policy.
* **To Comply with Legal Obligations:** We may process your information as required by applicable law, regulation, or legal process, including responding to lawful requests by public authorities.

We do not sell your personal information. However, we may share your information in the following circumstances:

* **With Service Providers:** We may share your information with third-party service providers who perform services on our behalf, such as hosting, data processing, and customer support. These providers are bound by contract to protect your information and use it only for the purposes for which it was disclosed. For paid customers, Lleverage implements zero data retention policies with all AI model providers used in the Services, ensuring that no customer data is retained by these providers beyond the processing necessary for service delivery.
* **With Affiliates:** We may share your information with our corporate affiliates to help provide, improve, and market our Services.
* **In Connection with Business Transfers:** If we are involved in a merger, acquisition, or sale of all or a portion of our assets, your information may be transferred as part of that transaction. We will notify you of any such change in ownership or control of your personal information.
* **To Comply with Legal Requirements:** We may disclose your information if required by law, such as in response to a subpoena, court order, or other legal process, or to protect the rights, property, or safety of Lleverage, our customers, or others.

### 4. Data Retention

We retain your personal information and Customer Data for as long as necessary to fulfill the purposes for which it was collected, or as required by applicable laws. Upon termination of your contract with us, we will delete or anonymize your information in accordance with our data retention policy, unless we are required by law to retain it for a longer period.

### 5. Your Data Protections Rights

Under the GDPR and other applicable laws, you have the following rights regarding your personal data:

* **Right to Access:** You have the right to request access to the personal information we hold about you.
* **Right to Rectification:** You have the right to request that we correct any inaccuracies in your personal information.
* **Right to Erasure:** You have the right to request that we delete your personal information, subject to certain exceptions.
* **Right to Restrict Processing:** You have the right to request that we restrict the processing of your personal information.
* **Right to Data Portability:** You have the right to receive your personal information in a structured, commonly used, and machine-readable format and to transmit it to another data controller.

### 6. International Data Transfers

* **Data Storage Location:** For paid customers who choose our EU cluster option, all your data will be stored and processed exclusively within the European Union. You can select your preferred data storage region when setting up your paid account.
* **Service Operations:** While Lleverage uses some service providers (subprocessors) located outside the EU for operational purposes (such as code monitoring), these providers do not have access to your content or customer data. A current list of our sub-processors and their locations is available at our [Trust Center](https://app.drata.com/trust/f1198ce6-7674-4c5c-9006-afc23f80f3ca) and will be updated if changes occur.

### 7. Security of your Information

We take the security of your information seriously and implement appropriate technical and organizational measures to protect it from unauthorized access, use, alteration, or disclosure. These measures include encryption, access controls, and regular security audits. However, please be aware that no method of transmitting or storing data is completely secure, and we cannot guarantee the absolute security of your information.

### 8. Cookies and Tracking Technologies

We use cookies and similar tracking technologies to enhance your experience with our Services. Cookies are small data files that are placed on your device when you visit our website. # Data Processing Addendum (DPA)

This Data Processing Addendum ("DPA") is entered into between Lleverage B.V., a company incorporated in the Netherlands with offices at Raamplein 1, 1016XK Amsterdam ("Lleverage AI", "we", "us", "our") and the Customer identified in the relevant Order Form ("Customer") (each a "Party" and together the "Parties"). This DPA is supplemental to, and forms part of, your Contract and the Terms of Service or other written agreement between Lleverage and Customer (in either case, the "Agreement"). This DPA becomes legally binding upon receipt by Lleverage of the validly completed DPA (the "DPA Effective Date").

### 1. Definitions

In this DPA, the following terms have specific meanings:

* **"Affiliate"** means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.
* **"Applicable Data Protection Law"** means any data protection and privacy laws applicable to the respective Party in its role in the Processing of Personal Data under the Agreement, including the GDPR, UK Data Protection Laws, Swiss Data Protection Laws, and any other relevant data protection laws.
* **"Controller"** means the entity which determines the purposes and means of the Processing of Personal Data.
* **"Customer Data"** refers to all electronic data, content, or information that the Customer submits to the Services.
* **"Data Subject"** means the identified or identifiable natural person to whom Personal Data relates.
* **"Personal Data"** means any information relating to an identified or identifiable natural person.
* **"Processing"** means any operation or set of operations performed upon Personal Data, whether or not by automatic means, such as collection, recording, organization, structuring, storage, adaptation, alteration, retrieval, consultation, use, disclosure by transmission, dissemination, or otherwise making available, alignment, combination, restriction, erasure, or destruction.
* **"Processor"** means the entity that Processes Personal Data on behalf of the Controller.
* **"Sub-processor"** means any entity engaged by Lleverage AI or its Affiliates to Process Personal Data in connection with the Services.

Capitalized terms not defined in this DPA will have the meanings given to them in the Agreement or under applicable Data Protection Laws.

**Lleverage identifies as processor in the relation of this DPA.**

### 2. Processing of Personal Data

* **Customer Obligations:** Customer shall, in its use of the Services and provision of instructions, Process Personal Data in compliance with applicable Data Protection Laws. Customer has sole responsibility for the accuracy, quality, and legality of Personal Data and the means by which Customer acquired such data.
* **Lleverage’s Processing of Personal Data:** Lleverage shall Process Personal Data only for the following purposes:
  * Processing in accordance with the Agreement and applicable Order Confirmation(s);
  * Processing initiated by Authorized Users in their use of the Services;
  * Processing to comply with instructions provided by the Customer, where such instructions are consistent with the terms of the Agreement.
* **Personnel:** Lleverage shall ensure that all personnel authorized to Process Personal Data are subject to confidentiality obligations.
* **Zero data retention at AI model providers:** When processing data for Customers with paid subscriptions through third-party AI model providers, the Processor (Lleverage) shall ensure that zero data retention options are enabled and enforced with such providers, preventing any storage or retention of the Controller's data beyond what is necessary for immediate processing. For users accessing the Test Environment, zero data retention is implemented on a best-effort basis without guarantees.

### 3. Sub-processors

* **Appointment of Sub-processors:** Customer acknowledges and agrees that Lleverage may engage third-party Sub-processors to Process Personal Data. Lleverage shall enter into written agreements with Sub-processors that impose data protection obligations that provide the same level of protection for Personal Data as those in this DPA.
* **List of Sub-processors:** A current list of Sub-processors for the Services, including the identities of those Sub-processors and their country of location, is accessible via our Trust Center. Customer consents to these Sub-processors, their locations, and Processing activities as they pertain to Personal Data.
* **Objection Right for New Sub-processors:** Customer may object to Lleverage's use of a new Sub-processor by notifying Lleverage promptly in writing within ten (10) business days after receipt of notice. If Customer reasonably objects and Lleverage cannot accommodate the objection, Customer may terminate the affected Services.
* **European Data Residency Option:** For Customers on paid plans, Lleverage offers the option to restrict data processing to subprocessors hosted exclusively within the European Union. Upon written request, Lleverage will disable any subprocessors that are hosted outside of the EU area for Customer's instance of the Services. Customer acknowledges that selecting this option may limit certain features and functionalities of the Services, particularly those dependent on non-EU based integration partners such as Pipedream.
* **Liability:** Lleverage shall be liable for the acts and omissions of its Sub-processors to the same extent Lleverage would be liable if performing the Services directly under this DPA.

### 4. Data Subject Rights

* **Data Subject Requests:** Lleverage shall, to the extent legally permitted, notify Customer if Lleverage receives a request from a Data Subject to exercise rights under Data Protection Laws. Lleverage shall assist Customer in responding to such requests, to the extent possible and as required by Data Protection Laws.
* **Regulator Correspondence:** Lleverage shall promptly notify Customer of any correspondence from a Supervisory Authority or other regulatory authority related to Personal Data, unless prohibited by law.

### 5. Security & Confidentiality

* **Security Measures:** Lleverage shall implement appropriate technical and organizational measures to protect the security, confidentiality, and integrity of Personal Data. These measures shall include encryption, access controls, and regular security assessments. Lleverage will not materially decrease the overall security of the Services during the subscription term.
* **Security Incidents:** Lleverage shall notify Customer without undue delay of any breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to, Personal Data ("Security Incident"). Lleverage AI shall take reasonable steps to mitigate the effects of the Security Incident and prevent further incidents.
* **Secrecy and confidentiality:** The Parties have a duty to maintain the confidentiality  \
  of all personal data received by Lleverage from Customer and/or that Lleverage  \
  gathers itself in the context of this DPA, towards third parties. Lleverage will not use  \
  this information for any purpose other than that for which it was acquired by it, not  \
  even if it has been placed in a form preventing it from being traceable to Data  \
  Subjects. This duty of confidentiality does not apply insofar as Customer has given  \
  explicit written consent to provide the information to third parties, if the disclosure of  \
  the information to third parties is logically necessary given the nature of the  \
  assignment granted and the execution of this DPA, or if there is a legal obligation to  \
  disclose the information to a third party.

### 6. Data Transfers

* **Restricted Transfers:** To the extent that Customer makes a transfer of Personal Data subject to EU, Swiss, or UK Data Protection Laws, the Parties agree to be bound by the relevant Standard Contractual Clauses, which shall be incorporated into this DPA.

### 7. Audits and Certifications

* **Third-Party Certifications:** Upon Customer’s request, Lleverage shall make available information regarding its compliance with the obligations set forth in this DPA in the form of third-party certifications (such as ISO 27001 or SOC-2) or audit reports. Summaries of these are always accessible through the Trust Center.
* **Customer Audits:** Customer may conduct an audit of Lleverage’s compliance with this DPA. Audits shall be conducted at Customer’s expense and shall not disrupt Lleverage AI’s business operations.

### 8. Return and Deletion of Personal Data

Upon termination of the Services, Lleverage shall, at the choice of Customer, return all Personal Data or delete all Personal Data from its systems, unless applicable law requires the retention of such data.

### 9. Governing Law and Jurisdiction

This DPA shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with this DPA shall be subject to the exclusive jurisdiction of the courts located in Amsterdam, Netherlands.


# Service Level Agreement (SLA)

**Effective Date:** 15th of December 2025.

This Service Level Agreement ("SLA") outlines the performance standards Lleverage ("we", "us", "our") commits to providing for the Services rendered under our agreement with you ("Customer"). This SLA forms part of the [Terms of Service](/) or other written agreements governing your use of the Services.

**Applicability:** This SLA applies to Customers with active paid subscriptions under an Order Confirmation. Users accessing the Test Environment are not covered by this SLA and receive no uptime, support response time, or service credit commitments.

### 1. **Definitions**

* **"Business Day"** means Monday through Friday, excluding public holidays in the Netherlands.
* **"Change Request"** means any request to modify, add, or remove functionality from the agreed scope after Feature Freeze has been established.
* **"Downtime"** refers to the total accumulated minutes during which the Service is unavailable or severely degraded, excluding Planned Maintenance and Exclusions (as defined below).
* **"Exclusions"** refers to any unavailability caused by factors outside Lleverage's reasonable control, including but not limited to, force majeure events, acts of war or terrorism, civil unrest, or disruptions in third-party services.
* **"Feature Freeze"** means the point in a Managed Implementation engagement at which the project scope is locked and further changes require a Change Request.
* **"Managed Implementation"** means professional services provided by Lleverage to design, build, and deploy custom workflows and automation solutions for Customer.
* **"Planned Maintenance"** means maintenance activities that are scheduled in advance and communicated to the Customer at least 48 hours prior to the start time.
* **"Service"** means the Lleverage platform, APIs, AI development tools, and any other services provided by Lleverage.
* **"Support Tier"** means the level of support services selected by Customer as part of a Managed Implementation engagement (Premium, Platinum, Diamond, or Custom).

### 2. Technical **Service Availability**

Lleverage will use commercially reasonable efforts to ensure that the Service is available 99.8% of the time during any given monthly billing cycle ("Service Commitment").

#### 2.1 Calculation of Service Availability

Service Availability is calculated as follows:

**2.2 Exclusions from Downtime**

The following events are excluded from Downtime calculations:

* Planned Maintenance.
* Emergency maintenance required to protect the security or performance of the Service.
* Downtime caused by Customer’s or third-party software, hardware, or services not under the direct control of Lleverage.
* Downtime resulting from Customer's breach of the Agreement, including but not limited to failure to comply with the Acceptable Use Policy.

### 3. Managed Implementation Support Tiers

For Customers who have engaged Lleverage for Managed Implementation services, the following support tiers are available. The applicable tier shall be specified in the Order Form governing the engagement.

#### 3.2 Tier Descriptions

(a) Premium Tier: Standard support included with all Managed Implementation engagements at no additional cost. Provides reliable response times suitable for most business operations.

(b) Platinum Tier: Enhanced support with expedited response times for organisations requiring faster issue resolution. Subject to a 10% premium on the base engagement fee.

(c) Diamond Tier: Priority support with the fastest response times for mission-critical deployments. Subject to a 25% premium on the base engagement fee.

(d) Custom Tier: Bespoke support arrangements negotiated on a case-by-case basis for Customers with specific requirements. Terms shall be documented in the applicable Order Form.

#### 3.3 Response Time Definitions

(a) "Triage Response" means the initial acknowledgment and assessment of an issue by the Lleverage support team.

(b) "Critical Fix" means resolution or workaround for issues that render the deployed solution completely non-functional or cause material business impact.

(c) "Non-Critical Fix" means resolution for issues that cause partial functionality loss or degraded performance but do not prevent core business operations.

#### 3.4 Applicability

The support tiers set forth in this Section 3 apply exclusively to Managed Implementation engagements and operate in addition to, not in replacement of, the general Support Services outlined in Section 4.

### 4. **Support Services**

**Support Channels:** Lleverage provides Customer support through the following channels:

* **Email Support:** Available 24/7 via <support@lleverage.ai>.
* **In-Platform Support:** Direct support requests through the Lleverage platform interface.

**Response Times:** Lleverage commits to the following initial response times based on the severity of the issue:

* **Critical Issues (Service is down or severely impacted):** Response within 2 hours.
* **High Issues (Major functionality impacted):** Response within 8 hours.
* **Medium Issues (Minor functionality impacted):** Response within 2 business days.
* **Low Issues (General questions or requests):** Response within 5 business days.

### 5. Infrastructure services

All infrastructure services provided by Lleverage, including but not limited to vector databases, retrieval-augmented generation (RAG) pipelines, and other supporting infrastructure, are covered under the service level commitments outlined in this SLA.

### 6. AI model services

The availability of AI model services depends on our third-party model providers. While Lleverage implements fallback mechanisms (such as Vercel AI Gateway) to maintain high availability, the base service levels are determined by our providers:

Model Performance Model performance metrics, including accuracy, response time, and quality, are inherent to the specific models used and may vary. For managed service engagements where specific performance requirements are requested, separate agreements can be established that define:

* Performance metrics and thresholds
* Monitoring and reporting methods
* Model retraining and update procedures
* Quality assurance processes

These performance agreements will be customized based on the specific use case, data, and requirements.

### 7. Recovery Objectives

Lleverage commits to the following recovery objectives in the event of a service disruption:

* Recovery Point Objective (RPO): Maximum potential data loss in case of an incident shall not exceed 1 hour. This means any data created up to 1 hour before an incident may be lost.
* Recovery Time Objective (RTO): Maximum time to restore service after a disruption shall not exceed 2 hours.

### 8. **Service Credits**

**Eligibility for Service Credits:** If Service Availability falls below 99.5% in any given month, Customer may be eligible to receive a Service Credit. Service Credits are calculated as a percentage of the monthly fees paid by the Customer for the affected Service, as follows:

* **< 99.5% and ≥ 99.0%:** 10% Service Credit
* **< 99.0% and ≥ 95.0%:** 25% Service Credit
* **< 95.0%:** 50% Service Credit

**Requesting Service Credits:** To receive a Service Credit, the Customer must submit a written request to Lleverage within thirty (30) days following the end of the month in which the Service Availability fell below the committed threshold. The request must include the dates and times of the Downtime, and a detailed description of the events.

**Limitations on Service Credits:**

* Service Credits are the sole and exclusive remedy for any failure by Lleverage to meet the Service Commitment.
* The maximum Service Credit that can be issued for any given month shall not exceed 50% of the monthly fee for the affected Service.
* Service Credits may not be exchanged for or converted to monetary amounts and will be applied to future invoices.

### 9. **Maintenance and Planned Outages**

**Scheduled Maintenance:** Scheduled Maintenance will occur during designated windows, typically outside of peak usage hours. Lleverage will provide at least 48 hours' notice before commencing Scheduled Maintenance.

**Emergency Maintenance:** Lleverage reserves the right to perform emergency maintenance at any time to ensure the security and performance of the Service. Emergency maintenance may occur without prior notice, although Lleverage will make reasonable efforts to provide advance notice if possible.

### 10. Feature Freeze

This Section 10 applies exclusively to Managed Implementation engagements.

#### 10.1 Purpose

Feature Freeze establishes a defined point at which the scope of a Managed Implementation project is locked. This mechanism ensures project completion within agreed timelines and budgets, while providing a structured process for accommodating necessary changes.

#### 10.2 Establishment of Feature Freeze

(a) Feature Freeze shall be established at a mutually agreed milestone, typically at some point during the development phase of the project.

(b) Prior to Feature Freeze, Lleverage shall present a comprehensive scope definition documenting all functionality to be delivered.

(c) Customer shall review the proposed scope and confirm acceptance in writing before Feature Freeze takes effect.

(d) Once Feature Freeze is established, the scope definition shall constitute the binding deliverables for the engagement.

#### 10.3 Change Requests After Feature Freeze

(a) Any modification, addition, or removal of functionality from the locked scope after Feature Freeze shall constitute a Change Request.

(b) Change Requests shall be billed at a rate of €120.00 (one hundred twenty euros) per hour, unless otherwise agreed in writing.

(c) Lleverage shall provide Customer with a written estimate of hours required for any Change Request prior to commencement of work.

(d) Customer must approve the Change Request estimate in writing before work begins.

#### 10.4 Exclusions from Change Requests

The following shall not constitute Change Requests:

(a) Bug fixes for functionality within the locked scope that does not perform as documented;

(b) Minor refinements that do not materially alter functionality or require significant additional development effort;

(c) Requirements that were genuinely undiscoverable during the discovery phase and are critical to the core functionality, as determined by Lleverage in good faith.

#### 10.5 Subsequent Project Phases

Functionality not included in the locked scope may be addressed in subsequent project phases. Such phases shall be scoped and priced separately following successful completion of the initial engagement.

### 11. **Customer Responsibilities**

Customer is responsible for:

* Ensuring that Customer's use of the Services complies with the Terms of Service and all applicable laws.
* Providing Lleverage with accurate and up-to-date contact information.
* Maintaining the security of Customer's own systems and preventing unauthorized access to the Services.

### 12. **Limitation of Liability**

Service Credits provided under this SLA are Customer’s sole and exclusive remedy for any failure by Lleverage to meet its obligations under this SLA. Under no circumstances shall Lleverage's total liability to the Customer for any claim under this SLA exceed the total amount paid by the Customer for the Services during the 12 months preceding the claim.

### 13. **Governing Law**

This SLA is governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with this SLA shall be subject to the exclusive jurisdiction of the courts located in Amsterdam, Netherlands.

### 14. **Amendments**

Lleverage may amend this SLA from time to time by posting an updated version on our website or otherwise providing notice to Customer. Any changes will take effect at the start of the next renewal term of the Services.


# Acceptable Use

**Effective Date:** 20th of August 2025.

This Acceptable Use Policy ("Policy") sets forth the acceptable and unacceptable conduct for your use of Lleverage's Services, including our platform, APIs, AI development tools, and any other services we provide ("Services"). By using the Services, you agree to comply with this Policy. If we determine that you have violated this Policy, we may suspend or terminate your access to the Services. This Policy is subject to change, so please review it periodically. Capitalized terms used but not defined herein have the meanings set forth in the [Terms of Service](/).

### Do:

* **Comply with the Terms:** Follow all applicable Terms of Service, including this Acceptable Use Policy.
* **Observe All Laws:** Comply with all applicable laws and regulations, including but not limited to intellectual property, data protection, privacy, and export control laws.
* **Respect Data Ownership:** Only upload or disseminate data or information that you have the legal right to share, and do so in compliance with all applicable laws and contractual obligations.
* **Secure Your Access:** Use commercially reasonable efforts to prevent unauthorized access to the Services, keep your passwords and other login information confidential, and monitor all activity under your account.
* **Report Security Issues:** Promptly notify Lleverage if you become aware of any unauthorized access, security breaches, or other suspicious activities related to your account.
* **Manage Third-Party Integrations:** Ensure compliance with the terms of any third-party applications, APIs, or databases that you elect to integrate with the Services.
* **Maintain Ethical AI Use:** Use AI-generated outputs in a manner that is ethical, responsible, and in compliance with our Responsible AI Policy, including ensuring that AI-generated content does not cause harm, spread misinformation, or violate any applicable laws.

### Do Not:

* **Share Unauthorized Access:** Do not allow any third party that is not an Authorized User to access or use your credentials for the Services.
* **Transfer Accounts:** Do not share, transfer, or provide access to your account to another person who is not the original Authorized User.
* **Infringe on Rights:** Do not use the Services to create, store, or transmit content that infringes upon or misappropriates someone else's intellectual property or other legal rights.
* **Commit Fraud or Identity Theft:** Do not use the Services to commit fraud, engage in identity theft, or further any fraudulent activity.
* **Impersonate Others:** Do not impersonate any person or entity, including Lleverage employees or other Authorized Users, or falsely state your affiliation with any person, organization, or entity.
* **Upload Harmful Content:** Do not upload or transmit any data, files, software, or links that contain or redirect to viruses, malware, or other harmful components.
* **Interfere with the Services:** Do not attempt to reverse engineer, decompile, hack, disable, or otherwise interfere with the features, functionality, integrity, or performance of the Services or any related systems or networks.
* **Circumvent Security Measures:** Do not attempt to defeat or bypass any security or monitoring mechanisms within the Services.
* **Create Competing Products:** Do not access the Services to build or improve a similar or competitive product or service.
* **Target Minors Inappropriately:** Do not use the Services to harm minors or engage in any activity that targets individuals under the age of thirteen.
* **Support Terrorist Activities:** Do not use the Services to provide material support or resources to any organizations designated as terrorist entities under applicable laws.
* **Send Unsolicited Communications:** Do not use the Services to send spam, unsolicited communications, promotions, or advertisements.
* **Engage in Deceptive Practices:** Do not use the Services to send altered, deceptive, or false information, including "spoofing" or "phishing" communications.
* **Abuse Referral Programs:** Do not abuse referrals, promotions, or similar incentives to gain more credits or benefits than deserved.
* **Exploit the Services:** Do not sublicense, resell, or otherwise exploit the Services for commercial gain without proper authorization.
* **Involve Patent Assertion Entities:** Do not access or use the Services on behalf of or for the benefit of any Patent Assertion Entity.

# Master Subscription Agreement

**Effective Date:** 15th of December 2025.

This Master Subscription Agreement ("Agreement") is entered into by and between Lleverage B.V., a company incorporated in the Netherlands with offices at Raamplein 1, 1016XK Amsterdam ("Lleverage") and the customer identified in the Order Confirmation that references this Agreement ("Customer"). By signing this Agreement, Customer agrees to the terms and conditions set forth herein and in the documents referenced below. This Agreement, together with the Order Confirmation, forms a binding contract between Lleverage and Customer.

#### 1. Definitions

* "Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity.
* "User" means an individual authorized by Customer to access and use the Services under Customer’s account.
* "Customer Data" means any electronic data, content, or information that the Customer submits to the Services.
* "Order Confirmation" refers to the document provided by Lleverage, specifying the Services purchased, pricing, and any specific terms related to the Customer’s subscription.
* "Services" refers to the AI development platform, APIs, and related services provided by Lleverage, as described in the Terms of Service.

#### 2. Terms of Service and Policies

This Agreement incorporates by reference the Lleverage Terms of Service, Privacy Policy, Data Processing Addendum, Service Level Agreement, Acceptable Use Policy, and Responsible AI Policy, all of which are available at[ https://legal.lleverage.ai/](https://legal.lleverage.ai/). Customer agrees to comply with all such policies as part of this Agreement. These documents govern Customer’s use of the Services and set forth the rights and obligations of both parties.

#### 3. Provision of Services

Lleverage will provide the Services to Customer in accordance with the terms set forth in this Agreement and the Order Confirmation. Lleverage will make the best reasonable efforts to make the Services available as described in the Service Level Agreement. The scope, features, and functionality of the Services are detailed in the Order Confirmation and the applicable terms found at <https://legal.lleverage.ai/>.

#### 4. Fees and Payment

Customer agrees to pay all fees specified in the Order Confirmation. Payment terms, including due dates and methods of payment, are provided in the Order Confirmation. All fees are non-refundable, except as explicitly stated in the Terms of Service or other applicable policies. Customer is responsible for any taxes applicable to the Services, excluding taxes based on Lleverage's net income.

#### 5. Data Protection and Security

Lleverage will process Customer Data in compliance with the Data Processing Addendum and applicable data protection laws. Lleverage will implement and maintain appropriate technical and organizational measures to protect the security, confidentiality, and integrity of Customer Data, as detailed in the Data Protection Policy and the Privacy Policy. For paid customers, Lleverage implements zero data retention policies with all AI model providers used in the Services, ensuring that no customer data is retained by these providers beyond the processing necessary for service delivery.

#### 6. Customer Responsibilities

Customer is responsible for ensuring that its use of the Services complies with all applicable laws and regulations, as well as the Lleverage Acceptable Use Policy and Responsible AI Policy. Customer is also responsible for maintaining the confidentiality of its account credentials and for all activities that occur under its account.

#### 7. Term and Termination

**7.1** Initial Term. This Agreement commences on the Effective Date and will continue for the Initial Period specified in the Order Confirmation.

**7.2** Termination for Cause. Either party may terminate this Agreement for cause if the other party materially breaches any term of this Agreement and fails to cure the breach within thirty (30) days of receiving written notice.

**7.3** Customer Switching Rights (EU Data Act). In accordance with the EU Data Act:&#x20;

a) Customer may terminate this Agreement for convenience with a maximum of two (2) months written notice to Lleverage.&#x20;

b) During the notice period, Customer shall continue to pay all applicable fees.&#x20;

c) Following termination notice, Lleverage will provide a transition period of up to 30 days to facilitate switching.&#x20;

d) Customer data shall remain available for retrieval for a minimum of 30 days post-termination.

**7.4** Early Termination Penalties. If Customer terminates for convenience during a fixed-term contract period, Customer shall pay an early termination penalty calculated as follows, reflecting Lleverage's unamortized costs for services rendered (e.g. custom development and implementation):

* Termination in Months 1-3: 80% of remaining contract value
* Termination in Months 4-6: 60% of remaining contract value
* Termination in Months 7-9: 40% of remaining contract value
* Termination in Months 10-12: 20% of remaining contract value

7.5 Effect of Termination. Upon termination, Customer's right to access the Services will cease, and any outstanding fees and applicable early termination penalties will become immediately due.

#### 8. Limitation of Liability

The limitation of liability for each party is governed by the terms set forth in the Terms of Service. In no event shall either party's aggregate liability exceed the amounts paid by Customer to Lleverage in the twelve (12) months preceding the event giving rise to the liability.

#### 9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Amsterdam, Netherlands.

#### 10. Miscellaneous

This Agreement, including the documents referenced herein, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements, whether written or oral, relating to such subject matter. Any modifications or amendments to this Agreement must be in writing and signed by both parties.
